MUTUAL NON-DISCLOSURE AGREEMENT

This agreement is effective as of May 14, 2026

WHEREAS, the parties wish to explore a business opportunity and may, in the course of doing so, disclose to each other confidential information (“Confidential Information”¹); the parties therefore agree as follows:

  1. 1. Definitions. “Confidential Information” means any non-public information disclosed by the disclosing party that is marked, or would reasonably be understood to be, confidential — including but not limited to:
    1. 1.1 financial models, customer lists, and pricing data;
    2. 1.2 technical specifications, source code, and product roadmaps;
    3. 1.3 any other materials, written or oral, exchanged under this agreement.
  2. 2. Obligation of Confidentiality. The receiving party shall protect Confidential Information with no less than the same degree of care it uses for its own information of like importance (and in no event less than reasonable care) for two (2) years from the date of disclosure.
  3. 3. Exclusions. These obligations do not apply to information that (a) is publicly known, (b) was rightfully in the receiving party's possession before disclosure, or (c) is lawfully obtained from a third party without a duty of confidentiality.
  4. 4. Governing Law. This agreement is governed by the laws of the State of California, without regard to its conflict-of-laws principles.
¹ “Confidential Information” excludes any information independently developed by the receiving party without reference to the disclosing party's Confidential Information.

  2. 2. 保密义务。 接收方应以不低于其保护自身同等重要机密信息的注意标准(且无论如何不低于合理注意标准)保护机密信息,期限为披露日起两 (2) 年。
  3. 3. 例外情形。 本义务不适用于:(a) 已为公众知悉的信息;(b) 接收方在披露之前已合法掌握的信息;或 (c) 第三方在无保密义务下合法获得的信息。
  4. 4. 适用法律。 本协议受美国加利福尼亚州法律管辖,不考虑其法律冲突原则。
